Introduction

These Terms and Conditions govern your use of the Donal Digital website at donaldigital.com and the services provided by Okey Chigbu trading as Donal Digital, a digital marketing and web design consultancy based in Lagos, Nigeria.

By visiting our website, downloading our resources, or engaging our services, you agree to these terms. Please read them carefully. If you do not agree, please do not use our website or services.

Services

Donal Digital provides the following services:

WordPress web design and development. Landing page design and build. Search engine optimisation (SEO). Funnel and email marketing systems. Website maintenance and management. Digital training and strategy consulting. Online presence packages (static website builds). Specialist packages for churches, ministries, and NGOs.

The specific scope, deliverables, timeline, and investment for any engagement are confirmed in a written proposal or service agreement sent to you before work begins. These Terms and Conditions apply alongside that agreement. Where there is a conflict between a specific service agreement and these Terms, the service agreement takes precedence.

Enquiries and Discovery Calls

Submitting a contact form or booking a discovery call does not constitute a contract for services. It is an expression of interest and an invitation to a conversation.

No obligation to proceed with any service arises until a formal proposal has been issued by Donal Digital and accepted in writing by you, and any required deposit has been received.

Payment Terms

Deposits: All project engagements require a deposit before work begins. The deposit amount is specified in your proposal — typically 50% of the total project fee.

Payment schedule: The remaining balance is due on delivery of the completed project, or as specified in your proposal for longer engagements.

Monthly retainers: Services billed on a monthly basis (SEO, website maintenance, email marketing) are payable in advance at the beginning of each month.

Late payment: Invoices not paid within 14 days of the due date may incur a late payment fee of 5% per month on the outstanding balance. Donal Digital reserves the right to suspend work or services on any account with an overdue invoice.

Payment methods: Payments are accepted via Paystack, direct bank transfer, or other methods confirmed in writing. Payment details are provided on your invoice.

Refunds: Deposits are non-refundable once work has commenced. If you cancel a project before work begins, a refund of the deposit may be offered at Donal Digital’s discretion, less any administrative costs incurred.

Project Process and Client Responsibilities

Successful project delivery depends on both parties fulfilling their responsibilities.

Your responsibilities as a client:

Providing complete, accurate, and timely content — text, images, logos, and any other materials required for your project. Responding to review requests, questions, and approval requests within 5 working days. Nominating a single point of contact for the project to avoid conflicting instructions. Providing honest and complete information about your business, goals, and requirements during the briefing process.

Delays caused by the client:

If a project is delayed because content or approvals are not provided within the agreed timeframe, Donal Digital reserves the right to reschedule the project to accommodate other commitments. If a project is paused for more than 30 days due to client delay, a restart fee of 20% of the remaining project balance may apply.

Revisions:

Each project includes a specified number of revision rounds as stated in your proposal. Revisions are defined as reasonable adjustments to the agreed design and content brief — not new directions or significant changes to scope. Revisions beyond the included rounds are billed at ₦15,000 per hour.

Intellectual Property

Your content: Any text, images, logos, brand assets, or other materials you provide to Donal Digital remain your property. By providing them, you confirm that you own or have the right to use them, and you grant Donal Digital a licence to use them solely for the purpose of completing your project.

Donal Digital’s work: Upon receipt of full payment, ownership of the final deliverable — the completed website, landing page, or other asset — transfers to you. You own the output of the work we do for you.

Pre-existing tools and frameworks: Donal Digital uses open-source platforms, frameworks, plugins, and code libraries in the course of building websites. These remain subject to their own licences (such as the WordPress GPL licence) and are not proprietary to Donal Digital. Their inclusion in your project does not constitute a transfer of ownership of those underlying tools.

Portfolio rights: Donal Digital reserves the right to display completed work in our portfolio and marketing materials, including on donaldigital.com and social media. If you require confidentiality around your project, please inform us before work begins and we will accommodate this in your agreement.

Free Resources

Donal Digital offers free downloadable resources including guides, checklists, and templates. These are provided for informational purposes only.

The information in free resources is based on our professional experience and is accurate to the best of our knowledge at the time of publication. It does not constitute professional legal, financial, or technical advice specific to your situation.

You may share our free resources with others, provided they are shared in their original form with Donal Digital’s branding intact and not sold or presented as your own work.

Website Content and Accuracy

We make reasonable efforts to ensure the content on donaldigital.com is accurate and current. However, we make no warranty that the website is free of errors, that it will be available at all times, or that information about pricing, services, or availability is always up to date.

Prices displayed on the website are indicative starting figures. The actual investment for any engagement is confirmed in a written proposal specific to your requirements.

Limitation of Liability

Donal Digital’s liability for any claim arising from a service engagement is limited to the total fees paid for that specific engagement.

We are not liable for any indirect, consequential, or business losses — including but not limited to lost revenue, lost clients, or reputational damage — arising from our services or from any failure, delay, or error in delivering those services.

We are not liable for the performance of third-party tools, platforms, or services used in connection with your project, including but not limited to WordPress, Paystack, Google Analytics, Netlify, or email platforms.

Confidentiality

Both parties agree to treat as confidential any sensitive business information shared during the course of an engagement. Donal Digital will not disclose your confidential business information to third parties without your consent, except where required by law.

Governing Law

These Terms and Conditions are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these terms or from a service engagement shall be subject to the jurisdiction of Nigerian courts, with Lagos State as the preferred venue.

In the event of a dispute, both parties agree to first attempt resolution through direct negotiation in good faith before pursuing formal legal proceedings.

Changes to These Terms

We reserve the right to update these Terms and Conditions as our services evolve. The current version is always published at donaldigital.com/terms-and-conditions/ with the date of last update shown at the top. Continued use of our services after any update constitutes acceptance of the revised terms.
